I'm using an older version of Code Warrior (3.1 for HCS08) for embedded development that already has a FLEXlm license manager installed. Rhapsody installs flexlm also. Are they compatible? Or can I run both simultaneously?

Generally for Flexlm you want to be running the later version. Flexlm maintains upward compatibility so software using an older tool works with the new license. For Modeler the license is node locked so the Flexlm server is not used so there should not be a compatibility issue. The issue arises when using floating licenses. Here you need to run the latest version of the Flexlm server.
